These Terms and Conditions (“Terms”) apply to your use of the Roomio mobile application (Roomio App) and any related services provided by Phoria Pty Ltd (ACN 169 885 796) (Phoria, we, us or our). By using the Roomio App or placing an order for services via Roomio, you agree to be bound by these Terms, our End User Licence Agreement (EULA) and our Privacy Policy.
If you are using the Roomio App on behalf of a business or organisation, you represent that you have authority to bind that organisation to these Terms.
1. Definitions
- Data: Content or information you upload to the Roomio App or generate through your use of it.
- End User: An individual user of the Roomio App under a Roomio account.
- EULA: The End User Licence Agreement.
- Fees: Charges you pay to Phoria for content generated or services provided through Roomio.
- Platform: The Roomio App, and associated backend systems operated by Phoria.
- Privacy Policy: Roomio’s privacy policy.
- Services: Roomio’s functionality and content creation services (e.g. floor plans, photos, videos, virtual tours, reports).
- You / your: The individual or entity using Roomio.
2. Scope of Services
Roomio allows you to scan physical spaces and generate digital content including but not limited to:
- Floor plans
- Photos and videos
- Virtual tours
- Reports
Phoria may modify or update the Services without notice. If we make a change that materially reduces functionality you’ve already paid for, we will notify you and may offer a pro-rata refund.
3. Account and User Responsibilities
To access Roomio, you must:
- Be at least 18 years old
- Provide accurate and up-to-date information
- Maintain the confidentiality of your login credentials
- Only use the Roomio App as permitted by these Terms and applicable Law
You are solely responsible for the Data you upload, and for ensuring you have all necessary permissions to do so.
You must not:
- Violate any Law or third-party rights
- Upload harmful, unlawful, or offensive content
- Attempt to reverse engineer or interfere with the Roomio App
- Use Roomio for competitive analysis or benchmarking
4. Orders and Payments
Roomio operates on a one-time purchase model. You will be presented with the Fee for each service before confirming your order. Payment is facilitated by Stripe, and you authorise us to process payments through Stripe on your behalf.
All Fees are:
- Payable in advance
- Quoted in Australian dollars (unless otherwise specified)
- Non-refundable, unless required by Law or agreed in writing
5. Refund Policy
Orders are final once submitted. We may consider refunds only where:
- A service was not delivered due to a technical error on our part
- A statutory consumer guarantee applies under Australian Consumer Law
Refund requests must be made within 7 days of order completion. We do not guarantee refunds for poor quality scans due to user or hardware error.
6. Intellectual Property and Data Use
You retain ownership of all Data you upload or generate through Roomio.
However, you grant Phoria a worldwide, non-exclusive, perpetual, royalty-free licence (with the right to sublicense) to:
- Use, store, adapt, publish and commercialise your Data
- Use de-identified or aggregated Data for analytics, product improvement or AI model development
This licence survives the termination of your account unless you delete the relevant Data prior to closure.
You may export your content via the Roomio App, where available.
7. Security and Privacy
We take data security seriously and implement industry-standard measures to protect your Data.
All Data is handled in accordance with our Privacy Policy, which outlines:
- What we collect
- How we use and store it
- Your rights to access, correct or delete your data
Your use of Roomio is subject to the Privacy Policy. Where we rely on consent as a legal basis (for example, for advertising and conversion-measurement technologies for users in the EEA or UK), we will obtain that consent separately as described in the Privacy Policy, and using Roomio is not by itself treated as that consent.
8. Suspension and Termination
We may suspend or terminate your access to Roomio immediately if:
- You breach these Terms, the EULA or Privacy Policy
- You upload unlawful or abusive content
- Required by Law or a regulator
Where possible, we will notify you in advance and provide an opportunity to download your Data.
You may terminate your account at any time via the App. Termination does not entitle you to a refund of any previously paid Fees.
9. Limitation of Liability
To the maximum extent permitted by Law:
- Roomio is provided “as is” and “as available”
- We disclaim all warranties, express or implied
- Phoria will not be liable for any indirect, incidental or consequential loss, including data loss, business interruption, or loss of profits
If we are found liable for any reason, our total liability to you is limited to the Fees paid by you for the relevant service in the preceding 12 months.
10. Dispute Resolution
If a dispute arises, you agree to first attempt informal resolution by emailing us at support@roomio.io.
If unresolved after 30 business days, both parties agree to mediate the dispute via the Law Institute of Victoria’s mediation service, unless urgent injunctive relief is required.
You may only bring claims on an individual basis. Class actions and consolidated proceedings are not permitted.
11. General Terms
- Governing law: These Terms are governed by the laws of Victoria, Australia.
- Changes to Terms: We may update these Terms from time to time. If we make material changes, we will notify you via email or in-app alert at least 14 days in advance. Continued use of Roomio after changes become effective constitutes acceptance.
- Entire Agreement: These Terms, together with our EULA and Privacy Policy, form the entire agreement between you and Phoria.
- Assignment: You may not transfer your rights under these Terms without our written consent. We may assign our rights in connection with a merger or sale.
- Force Majeure: We are not liable for failure to perform due to events outside our reasonable control (e.g. natural disaster, war, internet failure).
- Severability: If a provision is invalid, the rest of the Terms remain in effect.
- No agency: You and Phoria are independent parties. Nothing in these Terms creates a partnership or agency relationship.
